These Terms govern your access to and use of OCCEAN, the Executive Operating System for Commerce. By using the platform you agree to be bound by them.
By creating a OCCEAN account, connecting a store, or otherwise accessing the platform (the "Service"), you enter into a binding agreement with OCCEAN, Inc. ("OCCEAN", "we", "us"). If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company.
If you do not agree, do not use the Service.
You must provide accurate, current, and complete information when creating your organization and user accounts, and keep this information up to date.
You are responsible for maintaining the confidentiality of your credentials and for every action taken under your account. Notify us immediately of any suspected unauthorized use.
The Service is designed for commerce operators, brands, and their teams. Detailed prohibitions are in our Acceptable Use Policy. Violations may result in immediate suspension or termination.
Commerce Brain™ produces recommendations, not commands. Outputs are informational and probabilistic — they do not constitute financial, legal, tax, or investment advice.
Every recommendation includes evidence, assumptions, and a confidence score. You remain solely responsible for the business decisions you make, including any decision you approve, delegate, reject, or ignore.
OCCEAN never autonomously executes financially material actions. Actions such as budget reallocation, inventory purchase orders, or price changes require explicit human approval by an authorized user in your organization.
Automations you configure operate within the guardrails you define. You are responsible for the guardrails, approvers, and outcomes.
OCCEAN, Commerce Brain™, the Executive Operating System, and all associated marks, software, models, and documentation are owned by OCCEAN, Inc. and its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.
You retain all rights to your business data. You grant us a limited license to process it solely to operate and improve the Service, subject to our Privacy Policy.
Subscriptions renew automatically for the same term unless canceled before the renewal date. Fees, billing cycles, taxes, and cancellation are described in our Pricing & Billing Terms and Refund & Cancellation Policy.
We target 99.9% monthly uptime for the production platform. The Service may occasionally be unavailable for maintenance, upgrades, or reasons outside our control. Real-time status is published at status.
To the maximum extent permitted by law, OCCEAN is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim is capped at the fees you paid for the Service in the twelve (12) months preceding the claim.
You agree to defend and indemnify OCCEAN from claims arising out of your use of the Service, your data, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware, unless required otherwise by applicable law.
We may update these Terms from time to time. Material changes will be announced by email and in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
